SpecuLink Terms of Service

Welcome to SpecuLink! These Terms of Service ("Terms") govern your access to and use of the SpecuLink software platform, website, and any related services (collectively, the "Service"). The Service is a business-to-business software solution designed to help home inspection professionals manage clients, create reports, handle digital agreements, and streamline their operations.
This document is a binding legal agreement between SpecuLink Software ("SpecuLink," "we," "us," or "our") and the individual or legal entity registering for or using the Service ("User," "you," or "your").
By creating an account, clicking "I Agree," or by accessing or using the Service, you represent that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, you may not access or use the Service.
1. Service Availability & Jurisdiction
1.1. Intended Use: The Service is intended for use by professional home inspectors and home inspection businesses operating within Canada and the United States.
1.2. Governing Law: These Terms and your use of the Service are governed by the laws of the province of Ontario and the federal laws of Canada applicable therein. You agree to submit to the exclusive jurisdiction of the courts located in Barrie, Ontario for the resolution of any disputes.
2. User Accounts
2.1. Registration: To use the Service, you must be at least 18 years old and register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
2.2. Account Security: You are solely responsible for safeguarding your account password and for all activities that occur under your account. You must notify us immediately at info@speculink.com of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account.
3. Subscriptions & Payment
3.1. Subscription Plans: We offer the Service on a subscription basis (e.g., monthly or annually). By selecting a subscription plan, you agree to pay the fees associated with that plan.
3.2. Billing: We use a third-party payment processor (Stripe) to bill you through a payment account linked to your subscription. All payments are non-refundable, except as required by law or as explicitly stated in these Terms.
3.3. Automatic Renewal: Subscriptions will automatically renew for successive periods of the same duration as your original plan, at the then-current price. You may cancel your subscription at any time through your account settings to stop future renewals.
3.4. Fees & Taxes: All fees are quoted in Canadian Dollars (CAD). You are responsible for paying all applicable taxes, including GST, HST, PST, or other sales taxes, which will be added to your subscription fee as required by law.
3.5. Price Changes: We reserve the right to change our subscription fees. We will provide you with reasonable prior notice (e.g., via email or in-app notification) of any price changes. Your continued use of the Service after the price change constitutes your agreement to pay the modified amount.
3.6. Payment Processing for Your Clients (Stripe Connect) Payment processing services for inspectors on SpecuLink are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the "Stripe Services Agreement"). By agreeing to these Terms or continuing to operate as an inspector on SpecuLink, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of SpecuLink enabling payment processing services through Stripe, you agree to provide us with accurate and complete information about you and your business, and you authorize us to share it and transaction information related to your use of the payment processing services provided by Stripe.
3.7. Liability for Transactions You act as the "Merchant of Record" for all transactions between you and your clients. You are solely responsible for all refunds, chargebacks, disputes, and reversals. SpecuLink is not a party to the financial transaction between you and your client and is not liable for any funds lost due to fraud, chargebacks, or disputes. If a chargeback occurs and Stripe deducts funds from SpecuLink’s platform account on your behalf, you agree to reimburse SpecuLink immediately for the full amount plus any associated fees.
4. User Responsibilities & Acceptable Use
4.1. Your Professional Responsibility: You are a trained and, where applicable, licensed professional. SpecuLink is a software tool to assist you. You are solely and exclusively responsible for:
The content, accuracy, and completeness of all home inspection reports, notes, and recommendations you create using the Service.
The legal sufficiency and enforceability of any client agreements or contracts you send for e-signature through the Service.
Validating all Content: You acknowledge that any templates (for reports, agreements, etc.), comment libraries, AI-generated suggestions, or default settings provided by the Service are for convenience and informational purposes only. They do not constitute legal or professional advice. You are solely responsible for reviewing, customizing, and approving all content to ensure it is accurate, complete, and meets all your professional and legal obligations.
Your professional conduct and all services you provide to your clients (the home buyers, sellers, or agents).
4.2. Legal Compliance: You agree to use the Service in full compliance with all applicable municipal, provincial, and federal laws, regulations, and industry standards governing your home inspection business.
4.3. Acceptable Use: You agree not to:
Use the Service for any illegal or unauthorized purpose.
Reverse engineer, decompile, or attempt to extract the source code of the Service.
Resell, sublicense, or rent access to the Service.
Use the Service to store or transmit any data that infringes on any person's intellectual property or privacy rights.
Upload any viruses, malware, or other malicious code.
4.4. Data Backup: While we perform regular backups of the Service, you are responsible for maintaining your own backups of your User Content. We recommend regularly exporting your inspection reports (PDFs) and saving them to your local device or a separate cloud storage service. SpecuLink is not a "forever archive" service and is not liable for any loss of data.
4.5. Fair Use of Storage: The Service allows for the upload of photos and documents. This usage is subject to fair use limits to prevent abuse. If your data storage usage significantly exceeds the average usage of other customers (e.g., uploading thousands of high-resolution images per single inspection), we reserve the right to require you to reduce your storage usage or pay additional fees.
5. Your Content & Data
5.1. Content Ownership: You retain all ownership rights to the content you create, upload, or generate using the Service, including your client lists, inspection reports, photos, and digital agreements ("User Content").
5.2. License to Us: To provide the Service, you grant SpecuLink a limited, non-exclusive, worldwide, royalty-free license to host, store, process, display, transmit, and back up your User Content. This license is only for the purpose of operating, improving, and providing the Service to you.
5.3. Privacy & PIPEDA: Our collection and use of personal information are governed by our Privacy Policy, which is incorporated into these Terms. By using the Service, you agree to our Privacy Policy and consent to our collection and use of personal information in accordance with Canada's Personal Information Protection and Electronic Documents Act (PIPEDA) and any applicable provincial privacy laws.
5.4. Artificial Intelligence (AI) Features: The Service includes features that utilize Artificial Intelligence (AI) provided by third parties (e.g., Google Gemini) to generate text, explain defects, or suggest comments ("AI Output").
- Accuracy Warning: You acknowledge that AI Output is generated probabilistically and may contain inaccuracies, errors, or "hallucinations" (false information presented as fact). SpecuLink makes no warranties regarding the accuracy, completeness, safety, or suitability of any AI Output.
- User Responsibility: You agree to review, verify, and edit all AI Output before including it in any report, communication, or agreement. You assume full liability for any content delivered to your clients, regardless of its origin.
- Client-Facing Tools: If you enable client-facing AI tools (such as the "Why does this matter?" button), you agree that these are provided for educational purposes only and do not constitute professional engineering or repair advice.
6. SpecuLink Intellectual Property
6.1. Ownership: All rights, title, and interest in and to the Service itself, including all software, text, graphics, logos, and trademarks (collectively, "SpecuLink IP"), are and will remain the exclusive property of SpecuLink and its licensors. You may not use the SpecuLink IP without our prior written permission.
6.2. Feedback: We welcome your suggestions, ideas, comments, and other feedback regarding the Service ("Feedback"). By submitting any Feedback, you grant us the right to use, modify, distribute, and implement such Feedback for any purpose, without any restriction or compensation to you. You waive any moral rights you may have in such Feedback.
7. Termination
7.1. Termination by You: You may cancel your subscription and terminate this Agreement at any time via your account settings.
7.2. Termination by Us: We may suspend or terminate your access to the Service at any time, with or without cause. If we terminate your account without cause, we will provide a pro-rata refund of any prepaid, unused subscription fees. If we terminate your account for a breach of these Terms (e.g., non-payment), you will not be entitled to any refund.
7.3. Effect of Termination: Upon termination, your right to access and use the Service will immediately cease. We may, but are not obligated to, delete your User Content from our systems. It is your responsibility to export your data before termination.
8. Disclaimers & Limitation of Liability
8.1. Service Availability & Disclaimer of Warranties: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. You acknowledge that the Service may be temporarily unavailable due to scheduled maintenance, upgrades, or technical issues beyond our control (including, but not limited to, internet outages, cloud provider failures, or third-party service disruptions). SpecuLink shall not be liable for any inconvenience, loss of business, loss of revenue, or other damages resulting from service interruptions, downtime, or your inability to access the Service at any specific time. We do not offer a Service Level Agreement (SLA) regarding uptime unless explicitly stated in a separate enterprise agreement.
8.2. Disclaimer of Professional Liability: SPECULINK IS A SOFTWARE PROVIDER, NOT A HOME INSPECTION FIRM. WE ARE NOT LIABLE FOR ANY PROFESSIONAL ERRORS, OMISSIONS, OR NEGLIGENCE IN YOUR INSPECTION REPORTS OR SERVICES. WE ARE NOT A PARTY TO ANY AGREEMENT BETWEEN YOU AND YOUR CLIENTS.
8.3. Disclaimer Regarding Templates and Content: TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPECULINK MAKES NO WARRANTY OR REPRESENTATION REGARDING THE ACCURACY, LEGAL SUFFICIENCY, OR COMPLETENESS OF ANY REPORT TEMPLATES, COMMENT LIBRARIES, SAMPLE AGREEMENTS, AI-GENERATED SUGGESTIONS, OR ANY OTHER CONTENT PROVIDED THROUGH THE SERVICE ("SAMPLE CONTENT"). ALL SAMPLE CONTENT IS PROVIDED "AS IS" AND FOR INFORMATIONAL PURPOSES ONLY. YOU ASSUME ALL RISK AND RESPONSIBILITY FOR YOUR USE, MODIFICATION, AND RELIANCE ON ANY SUCH SAMPLE CONTENT.
8.4. Disclaimer Regarding Automations: The Service includes automated features (e.g., appointment reminders, review requests). You are responsible for configuring these settings correctly. SpecuLink is not liable for any communications sent erroneously due to user configuration, nor for any business lost due to the failure of an automated message to send.
8.5. Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SPECULINK OR ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF (OR INABILITY TO USE) THE SERVICE. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES YOU HAVE PAID TO US IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
8.6. Third-Party Links & Resources: The Service may contain links to third-party websites, articles, or resources (e.g., via the Reference URL feature in the Library). SpecuLink provides these links only as a convenience and is not responsible for the content, products, or services on or available from those resources. You acknowledge and agree that SpecuLink is not liable for any loss or damage which may be incurred by you or your clients as a result of the availability of those external sites or resources.
9. Indemnification
You agree to defend, indemnify, and hold harmless SpecuLink and its officers, directors, and employees from and against any and all claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
(a) Your use of the Service;
(b) Your breach of these Terms;
(c) Your User Content (including any AI Output you choose to use); or
(d) Any dispute or claim between you and your client or any third party related to your home inspection services.
10. General Terms
10.1. Changes to Terms: We may modify these Terms at any time. We will notify you of any material changes by posting the new Terms on our site or by sending you an email. Your continued use of the Service after such notice constitutes your acceptance of the modified Terms.
10.2. Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and SpecuLink regarding the Service.
10.3. Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect.

10.5. Force Majeure: SpecuLink shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation facilities, fuel, energy, labor or materials, or failures of third-party service providers (such as hosting or payment processors).
11. Electronic Communications & Signatures
11.1. Consent: By using the Service, you consent to receive communications from us electronically, such as emails, texts, or notices within the platform. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
11.2. Your Electronic Signature: You agree that your use of a keypad, mouse, or other device to select an item, button, icon, or checkbox, or to enter your name (or "click-to-sign") when using the Service constitutes your electronic signature and acceptance of these Terms and any other agreement with SpecuLink.
11.3. Client Signatures: The Service provides tools for you to collect electronic signatures from your clients (e.g., for Inspection Agreements). You acknowledge and agree that:
(a) It is your responsibility to ensure that the use of electronic signatures complies with all applicable laws in your jurisdiction; and
(b) SpecuLink is not a party to any agreement between you and your client and makes no warranty regarding the legal enforceability of any specific signature collected through the Service.
